Scope and Purpose

 

Corporate Affairs
o    Ensuring legal & regulatory assistance and advice for corporate governance matters
o    Ensuring in cooperation with the Bank and Group structures the drafting and updating of the corporate governance rules/policies in accordance with the applicable Regulatory Framework and the Group guidelines (Policy on Corporate Governance, Regulations of the Corporate bodies, designation and appointment of the members of the Corporate bodies, Bylaws etc.),
o    Ensuring the corporate obligations for the Bank deriving from the Regulatory Framework (i.e. bookkeeping of company records, publications etc.), 
o    Supporting the Bank, its subsidiaries and the Group in the planning and implementation of the corporate and extraordinary transactions of the Bank and its subsidiaries,
o    Caring the correct management of official correspondence of the Bank and its subsidiaries with the Supervisory Authorities, monitoring the requests and the letters received and supporting the Management and the Bank structures in analyzing the requests of the Supervisory Authorities and drafting the replies.
o    Uphold legal requirements of governing documents, company law and assist in all relevant communication and correspondence.

General Secretariat
o    Carry out the tasks assigned by the Bylaws, their respective Regulations and the applicable Regulatory Framework.
o    Handle the organizational and documentation requirements for relevant Board of Directors & other Corporate Bodies meetings (acquisition/preparation, with the assistance of the Corporate Affairs team, of the complete document sets to support the decision making process of the Corporate Bodies, minutes etc.);
o    Ensure that meetings with the Corporate Bodies are effectively organized and minuted and maintain their effective records and administration.

Operational activities
o    Analyse and manage Corporate Bodies and Supervisory Authorities' requests.
o    Supporting the management of the relations with internal stakeholders (Management, Corporate Bodies ect.), and with the Group Corporate Affairs, Supervisory Affairs and Impact assessment area for all request of Supervisory Authorities, reporting, implementation of Group guidelines, projects etc.

Required Experience

 

Excellent writing skills with a capacity to identify key points and translate these into clear, succinct messages Strong knowledge of the Bank's processes, formulation of policies and how to effectively engage relevant stakeholders. Strong knowledge of Corporate Governance regulations in the financial sector and of the Financial Sector Law and Commercial Law. Numerate and competent user of Microsoft Office suite 

Competencies Required

 

o Master degree in Legal or Economics, at least 5 years in similar positions. o English: Professional / Mother tongue o French: Fluent is a plus o Italian: Fluent is a plus
