LUX Senior Legal Counsel

Scope and Purpose

 

Review and draft all types of contracts, covering a diversity of activities, such as loans, service providers, and financial counterparts. Provide orientated advice on a broad and dynamic range of legal issues in the corporate banking and finance sphere and in general, support all bank departments on legal related matters. Main responsibilities may include: • Providing advice and guidance on corporate lending, governance issues, structured and syndicated loans, etc... • Undertaking a range of drafting and negotiating (e.g. term sheets, facility agreements), with a particular focus on financing transactions, such as commodities, acquisition finance, pre-export finance, asset finance, receivables purchasing etc. • Supporting derivatives transactions and negotiating ISDA agreements • Providing guidance on managing legal risks, and create or maintain policies accordingly • Participating in global and local legal initiatives • Liaising with third party law firms • Undertaking legal and regulatory watch • Follow up on pre-litigation and litigation cases 

Required Experience

 

• Have at least 6 years and up to around 10 years' experience in a similar in-house role or in a law firm; • Be a successful and energetic lawyer qualified in Luxembourg or another EU jurisdiction with significant practice or experience in Luxembourg. 

Required Qualifications, Skills and Knowledge

 

• Speak fluent French and English, Italian would be a plus; • Resilient, with excellent skills under pressure, and the ability to prioritize and juggle issues, providing swift and sensible advice to the business; • Have excellent knowledge of the Luxembourg legal and relevant regulatory environment, (MifID II, GDPR, EMIR, Fatca CRS, etc.).
