Scope and Purpose

The successful candidate should be experienced in the management of Corporate Governance operations. Day-to-day activities for the role will include supporting the corporate governance department with delivering its requirements and achieving its mandate.

The role will also involve interacting with key internal and external stakeholders, Group stakeholders, the Central Bank of Ireland and other various European authorities as well as the Company Secretary and Board of Directors.

Current responsibilities include:
•    Organizing and attending board and committee meetings and producing board packs, resolutions and minutes.
•    Draft minutes and prepare an action point list of the matters arising from the committees and forward them to the relevant stakeholders review 
•    Actively contribute to the preparation of the agenda and reports for the various committees and Board of Directors
•    Supporting directors and companies with regulatory visit preparation and follow-up assistance
•    Support and coordinate the establishment and maintenance of appropriate company policies 
•    Administrative responsibility for maintaining Director's letters of appointment, training, attendance record and submission of applications
•    Maintaining the Master Agreements repository and the Policies repository 
•    Assist with Due Diligence for Fitness and Probity requirements
•    Support the development and administration of the Induction Programme
•    Support the department in the ongoing relationship with Central Bank and other EU authorities and point of contact for legal affairs department of the parent company
•    Maintaining and updating of Company statutory registers
•    Preparation and filing of Annual Returns
•    Deal with queries and requests, on a day to day basis and other activities as assigned

Required Experience

•    At least 3/5 years relevant experience preferably in a financial services organization

Competencies Required

•    Relevant Degree
•    Strong communications, analytical, organizational and planning skills.
•    Strong influencing and interpersonal skills with the ability to establish productive relationships with a wide range of internal and external stakeholders
•    Strong confidentiality skills while dealing with sensitive information
